Enterprise value is the worth of a business as a going concern. In owner-led companies it is driven by profit quality, predictability, growth capacity, and how little the future depends on the current owner.
How do I prepare my company so I can eventually sell it?
Prepare a company for sale by making profit durable, cash visible, customer relationships institutional, operations documented, and the owner replaceable in daily work. Buyers pay for a future that continues after the closing dinner.
Building revenue is adding demand. Building enterprise value is making the company independently valuable. Those can move together. They often do not.
What a buyer actually discounts
- Customer concentration sitting in the owner's phone.
- Earnings that exist only because the owner is underpaid relative to the job they do.
- Numbers that cannot be produced without a heroic month-end.
- A growth story that requires the founder to keep selling.
- Operations that live in people's heads.
What moves value
Recurring or repeatable demand. Margin that survives a less heroic operator. A management team that can run a quarter. Clean working capital. A story of growth that is not identical to the founder's personal pipeline.
That is why owner dependency is not a lifestyle topic. It is a valuation topic. A company that cannot be left cannot be fully sold, even if a transaction closes. The owner will be retained, earnouts will be tight, and the price will reflect the risk.
Start earlier than you think
The work that raises enterprise value is the same work that gives the owner their life back: performance, operations, organization, cash, and independence. You do not do this the year you want to sell. You do this so that selling becomes a choice rather than an escape.
The goal isn't simply to build a bigger business. It's to build a business that performs without requiring every hour of the owner's life.
Questions
Do I have to want to sell for enterprise value to matter?
No. Enterprise value is also what funds a dividend, a recapitalization, a family succession, or a quieter decade of ownership. It is the scoreboard for whether the company is an asset.
